1. Acceptance of Terms
By accessing or using the Oversite service, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service.
2. Description of Service
Oversite provides a Software as a Service platform for construction safety management. We offer digital forms, compliance tracking, risk assessment tools, and automated workflows for construction companies. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.
3. User Accounts
You may be required to create an account to use certain features of the Service. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You must ensure all users in your organization comply with these terms and maintain accurate contact and billing information.
4. Termination of Service
Oversite reserves the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
5. Fees and Subscriptions
Some Service features may only be accessed and used after payment of applicable Fees. Except as expressly stated in these Terms or as required by applicable law, Fees paid are non-refundable, and payment obligations are non-cancelable. Notwithstanding any service provided during a free trial period, any service provided during a free trial period is provided "as-is" without any representations, warranties, or indemnities.
Subscription Term: Your Subscription Term begins once you register for your Oversite Account and is the billing cycle that you selected for your Oversite Account.
Auto-Renewal: Unless you downgrade or cancel your subscription prior to your renewal date, your subscription will automatically renew for another subscription term on the same plan (or if no longer available, a successor plan) and for a period equal to your then-current subscription term. All renewals are subject to the applicable Service and Plan continuing to be offered, and will be subject to the then-current Fees applicable to the renewed Service.
You can upgrade your plan, cancel your renewal, or delete your Oversite Account through your account settings. For the avoidance of doubt, the following do not constitute cancellation of a paid plan or termination of your Oversite Account:
- (i) an email, chat, or phone request to cancel
- (ii) revoking or suspending any form of payment on record with Oversite
- (iii) any cancellation or termination confirmation from a party other than Oversite.
6. Content Ownership
You retain ownership of the safety documentation and content you create and share on Oversite ("Your Content"). However, by using our Service, you grant Oversite a limited license to:
- Host, store, and display Your Content on our platform
- Use Your Content to provide and improve our services
- Share Your Content with other users within your organization (with your explicit consent)
- Process Your Content through AI services to generate reports and insights
- Use aggregated or anonymized data derived from Your Content for platform improvement
Oversite retains ownership of:
- The platform itself, including its design, functionality, and infrastructure
- Any content created by Oversite
- Aggregated or anonymized data derived from platform usage
You are responsible for ensuring you have the necessary rights to share Your Content on our platform and that Your Content complies with applicable laws and safety regulations.
7. User Conduct
You agree not to use the Service to:
- Violate any laws or regulations
- Infringe upon the rights of others
- Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Upload malicious software or harmful content
- Attempt to gain unauthorized access to our systems
- Create multiple accounts for the same organization without authorization
8. Data Security and Compliance
We implement industry-standard security measures to protect your data, including encryption for data in transit and at rest. We regularly backup your data to prevent loss and will notify you of any security breaches that may affect your data. Safety documentation is retained according to industry standards and legal requirements.
9. Disclaimer of Warranties
The Service is provided "as is" without any warranties, express or implied. Oversite does not warrant that the Service will be uninterrupted or error-free. We strive to maintain 99.9% uptime but cannot guarantee uninterrupted service.
10. Limitation of Liability
In no event shall Oversite be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability is limited to the amount paid for the service in the preceding 12 months.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of any changes by posting the new Terms on this page and via email notification to registered users. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
13. Support and Service Availability
Technical support is provided during business hours. Emergency support may be available for critical issues. Support response times vary based on your subscription plan. Planned maintenance will be scheduled during off-peak hours when possible.
